Sheet Alchemy provides tools for spreadsheet analysis, visualization, formula generation, script generation, file conversion, and other related services. Some of our Services use artificial intelligence to generate content based on your inputs.

Content generated by our AI tools (such as formulas, scripts, or other outputs) based on your inputs is provided for your use subject to these Terms. You may use AI-generated content for your personal or business purposes.

4.2 Limitations on AI-Generated Content

You acknowledge that AI-generated content:

  • May not always be accurate, complete, or suitable for your specific needs
  • Should be reviewed and validated by you before implementation in critical systems
  • May occasionally produce unexpected or undesired results
  • Is provided “as is“ without warranties of any kind

4.3 Feedback on AI Systems

If you provide feedback on our AI-generated content, you grant us the right to use this feedback to improve our Services without any obligation to you.

5. Service Usage

5.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not:

  • Use our Services in any way that violates any applicable law or regulation

5.2 API and Script Usage

6. Subscriptions and Payments

THE SERVICES ARE PROVIDED “AS IS“ AND “AS AVAILABLE“ WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.2 AI-Generated Content Disclaimers

WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF AI-GENERATED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING AND VALIDATING ANY FORMULAS, SCRIPTS, OR OTHER CONTENT GENERATED BY OUR AI SYSTEMS BEFORE IMPLEMENTATION.

8.3 Limitation of Liability

IN NO EVENT WILL SHEET ALCHEMY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS LIMITATION OF LIABILITY APPLIES TO ALL DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, AND ANY OTHER COMMERCIAL DAMAGES OR LOSSES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Sheet Alchemy and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

11. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If we make material changes, we will notify you through our Services or by other means.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

13. Dispute Resolution

Any dispute arising from these Terms will be resolved through binding arbitration in San Francisco, California, except that you may assert claims in small claims court if your claims qualify.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
